Multilateral Trade Payable Novation & Mutual Release Agreement

This Multilateral Novation & Mutual Release Agreement (“Agreement”) is executed across the participating supply-chain entities identified by their RFC 9497 Oblivious Pseudo-Random Function (“OPRF”) tokens in Node Zero Multi-Ledger Hub Cohort — Texas Construction CAS & Outsourced Controller Practice (38 Managed Trade Entities). Pursuant to U.S. GAAP FASB ASC 405-20-40-1 (Extinguishments of Liabilities) and Uniform Commercial Code (“UCC”) § 9-406, each Participating Entity hereby novates and extinguishes its respective circular Accounts Payable obligation in exchange for the simultaneous extinguishment of its corresponding Accounts Receivable obligation of the exact same integer cent amount, extinguishing $455,000.00 of gross payables (out of $560,000.00 total cluster payables, leaving $105,000.00 residual) using $0.00 of bank cash.

1. Governing Legal & Accounting Covenants

• ASC 405-20-40-1 Primary Obligor Release: Rather than a bilateral presentation offset under ASC 210-20-45-1, this Agreement effects a binding multilateral contractual release discharging each debtor from the extinguished portion of each novated invoice listed in Exhibit A.
• Strict Net Equity Invariance (Δ AR − Δ AP = $0.00): Microsoft Z3 Theorem #1 formally proves that for every Participating Entity, Accounts Receivable surrendered equals Accounts Payable extinguished down to the exact cent.
• Non-Custodial FinCEN Exemption (31 CFR § 1010.100(ff)(5)): GaussBook never accepts, holds, or transmits customer funds ($0.00 principal custody). Settlement occurs exclusively via double-entry bookkeeping credit memos and journal entries.
